Welcome to the website of SMIRO Engineered Systems Pty Ltd (“SMIRO”, “we”, “us”, or “our”). These Terms & Conditions govern your access to and use of our website, as well as the terms under which we supply and install our premium aluminium window and door systems in Australia. By accessing our website, requesting a quotation, or placing an order, you agree to be bound by these Terms & Conditions.
1. General
These Terms & Conditions apply to all transactions, contracts, and agreements entered into between SMIRO and the customer (“Client”, “you”, or “your”). Any variation to these Terms & Conditions must be agreed upon in writing by an authorized representative of SMIRO.
2. Quotations and Estimations
- All quotations issued by SMIRO are valid for a period of 30 days from the date of issue, unless otherwise specified in writing.
- Quotations are based on the drawings, architectural plans, and structural specifications provided by the Client. Any changes to the drawings, site measurements, or structural configurations after the quote is signed will result in a price revision.
- SMIRO is not liable for errors or omissions arising from inaccurate measurements, drawings, or structural details supplied by the Client or their contractor.
3. Payment and Payment Terms
- Unless otherwise specified in your formal contract, our standard payment terms are:
- Deposit: A 50% deposit of the total contract value is required to confirm the order and initiate factory production.
- Final Balance: The remaining 50% balance must be paid in full prior to delivery/dispatch of products, or as explicitly outlined in your signed quotation.
- Production will not commence until the deposit has cleared in our bank account and all shop drawings are signed off by the Client.
- Payments can be made via Electronic Funds Transfer (EFT) or other approved methods. Late payments may delay delivery schedules and attract interest charges.
4. Custom Manufacturing and Cancellations
As all SMIRO window and door systems are bespoke, custom-manufactured architectural products engineered for your specific building tolerances:
- Orders cannot be modified, cancelled, or refunded once shop drawings are confirmed and factory production has commenced.
- In the event of a cancellation request prior to production starting, SMIRO reserves the right to retain the deposit or charge a fee to cover drafting, engineering, and administrative costs incurred.
5. Delivery and Transit Risk
- Delivery lead times provided are estimates only. While we make every effort to meet agreed-upon delivery dates, SMIRO is not liable for any delays caused by shipping bottlenecks, customs clearances, adverse weather, or force majeure events.
- All shipments are covered by comprehensive transit insurance. In the event of transit damage, the Client must notify us within 48 hours of delivery and provide photographic evidence. To protect your project timeline, SMIRO will prioritize manufacturing replacement parts immediately under our "Cover First" protocol while the insurance claim is processed.
6. Professional Installation
- Our standard product quotations are for product supply only. If installation is requested, the scope, schedule, and fees will be specified under a separate installation schedule.
- The Client is responsible for ensuring the site is safe, clear, accessible, and meets all building regulations prior to the arrival of our installation team.
- Baseline installation fees typically start from $120–$150 per square metre and may vary depending on project complexity, wall structure, height, and equipment requirements.
7. Warranties and Liability
- SMIRO window and door profiles, glass units, and coatings are covered by our standard warranties (e.g., 7-year structural warranty, Dulux/Interpon coating warranties, 3-year hardware warranty) as detailed in your signed quotation.
- Warranties are void if the systems are installed, operated, or maintained in a manner contrary to SMIRO’s technical specifications, or if they are modified by unauthorized third parties.
- SMIRO’s liability under any warranty or claim is strictly limited to the repair or replacement of the defective product, and does not extend to consequential loss, damage to surrounding structures, or delay damages.
8. Governing Law
These Terms & Conditions are governed by and construed in accordance with the laws of the State of Victoria, Australia. Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Victoria.
